Chapter I - Of the denomination, duration, thirst and forum

Art. 1 - The Brazilian Association of Dissemination of the Spiritism, briefly Abrade, is a civil association, spiritist, of cultural character, without lucrative ends, for period of uncertain duration, with thirst and forum where the presidency of the Executive Management be being exercised. - Only paragraph - Abrade keeps likeness of purposes with the old Brazilian Association of Journalists and Spiritist Writers - Abrajee.

Chapter II - Of the mission, of the beginnings and of the purposes

Art. 2 - Abrade has as mission to promote and to perfect the spiritist social communication, making to interact the spiritist ideas in the society in way ethical, fraternal and partner, contributing to the humanity's moral transformation, the promotion of the human being happiness and the balance of the nature. - Art. 3 - Abrade possesses as beginnings the people's priorização, the valorization of the processes participativos and the discrimination inexistence of any species. - Art. 4 - Saint purposes of Abrade: - the) to Execute the actions in national and international ambit deliberate for the National Council of Dissemination of the Spiritism–CNDE; - b) to Promote administrations that seek auxiliary the attendance of objectives of ADEs - Associations of Dissemination of the Spiritism and of the Congenerous Entities; - c) to Maintain exchange with institutions of Brazil and of the exterior; - d) to Promote and to support activities and events related with the aprimoramento of the popularization and communication of the Spiritism in all the areas of the social communication; - and) to Edit, to print and to distribute, independently or through third, books, newspapers, magazines and correlatos, in the form of the pertinent legislation; - f) to Create, to present and to drive programs of radio, TV and other mídias, as well as to use technologies and several means for popularization ends and communication of the spiritualistic ideas; - g) to Position in the society, besides in the media, clearing the ideas and spiritualistic beginnings, acting in the defense of the same whenever necessary; and, - h) to Show in subjects of relevance in the society, leaving very clear the position of Abrade. - Art. 5 - the use of the name of Abrade is hindered for any political-supporting activities.

Chapter III - Of the constitution and of the associates

Art. 6th - Abrade is constituted of limitless number of associated, all legal entities, denominated as Association of Dissemination of the Spiritism–ADE, or congenerous institutions of other denominations, of character state, regional or local, in the terms of the own Statute of these entities, forming a National Council of Dissemination of the Spiritism (CNDE), an Executive Management and a Fiscal Council. - § 1st - The associates are classified as: - Founders - those that, for your legal representatives and just for historical-institutional registration, they sign the foundation record; and, - Effective - those that are accepted as such for the Executive Management. - § 2nd - they can participate in Abrade, in the condition of Collaborators, those natural persons juridical e/ou that spontaneously compete for the improvement and maintenance of your activities. - Art. 7o - The associates have as rights: I–to speak and to vote in the meetings of CNDE; II–to summon the meetings of CNDE, in the form of the article 11; III–to request, fundamentadamente, information to the Management Executive, relative the pertinent matter; IV–to participate in the activities and events of the Association, respected the current limitations of this Statute and of your norms you regulate. Art. 8o - The associates have as duties: I–to accomplish and to cooperate so that the Statute is accomplished, the norms regulate and the administrative decisions; II–to pay your social contribution on time; III–to participate in the activities developed by the Association. - Art. 9o - The associates don't answer subsidiariamente for the obligations expressed or intentionally contracted in your name or for the obligations of the Association, as well as there is not, among them, rights and reciprocal obligations, as it disposes the legislation in vigor, and, especially, the only paragraph of the article 53 of the Brazilian Civil Code.

Chapter IV - Of the National Council of Dissemination of the Spiritism–CNDE

Art. 10 - the National Council of Dissemination of the Spiritism, briefly CNDE, is the maximum organ of Abrade. - Only paragraph - CNDE is composed by ADEs and Congenerous Entities, legally constituted, integral of your picture of associates, always represented by your presidents or legal substitutes. - Art. 11 - CNDE has character of General Assembly, with views to deliberations of subjects of your competence. - Art. 12–it competes to CNDE: - the) to Choose and to vest the president and the secretary of CNDE, ad hoc, in the terms of this Statute; - b) to Choose and to vest the members of the Executive Management; - c) to Choose and to vest the members of the Fiscal Council; - d) to Establish the philosophy and the guidelines of performance of Abrade; - and) to Analyze and to approve the annual reports of the Executive Management; - f) to Approve the Statute and the Internal Regiment of Abrade and eventual reforms; - g) to Approve the entrance and the deprivation of ADEs and Congenerous Entities, for simple majority of your members; and, - h) to Approve the value of the monthly contributions be paid her for the associates. - Art. 13 - CNDE ordinarily meets once a year and, extraordinarily, when necessary and with pré-defined line. - § 1st - The extraordinary meetings are summoned by the president of the Executive Management or for most simple of the associates. - § 2nd - The deliberations of CNDE nominalmente are taken and for vote in open, tends each right associate to a vote. - § 3rd - After the installation of the meeting for the president of the Executive Management, the Council chooses, among your members, the president. - § 4th - the absence non justified to three consecutive meetings can result in the associate's exclusion, to criterion of CNDE. § 5th - the election of the Executive Management and of the Fiscal Council that treats this chapter it is accomplished in ordinary meeting, summoned for this end.

Chapter V - Of the Executive Management

Art. 14 - the Executive Management is composed by Presidency, Management of Politics and Methodologies of Communication, Administrative Management, Management of Partnership with ADEs and Congenerous Entities, Management of Partnerships in the Society, Management of Technologies of Communication and Management of Financial Infrastructure, integrated by natural persons, chosen and vested by CNDE. - § 1st - the Presidency of the Executive Management can create, to your criterion, how many Consultantships to understand necessary for the accomplishment of specific activities. - § 2nd - Para the attainment of the determination in this article, the Executive Management will excel for an administrative organization that allows the acting of all your functions seeking to the execution of the decisions of CNDE and of the Strategic and Operational Plan of Abrade. - § 3rd - Abrade doesn't remunerate nor it attributes any financial advantages to your directors, under any excuse, nor it maintains with them any relationship empregatícia. - § 4th - the administration of the Executive Management is of 2 (two) years, with right the reelection, being hindered the possibility of 3 (three) consecutive mandates for the president of the Executive Management. § 5th - The decisions in the ambit of the executive management will be made by simple majority. Only in caso de it ties, it will fall to the president the vote of it decides

Chapter VI - Of the attributions of the members of the Executive Management

Art. 15 - it competes to the Executive Management to accomplish the deliberations of CNDE, in consonance with what disposes this Statute. - Art. 16 - they are the president's attributions: - the) to Represent Abrade inside and out of the Country, in judgement or out of him, could delegate attributions and powers; - To accomplish the Strategic and Operational Plan of Abrade; - To present to CNDE the Report of Administration; - To delegate powers, to hire employees and to designate advisory and members of specialized commissions; - To sign checks and other documents of financial nature, together with the Administrative Director; - To summon CNDE, in the statutory form; and, - to Accomplish and to do to accomplish the present Statute. - Only paragraph–In the eventual absence or impediment of any of the responsible for the attributions contained in the paragraph “d”, above, one of the Directors assumes these. - Art. 17 - it competes to the Director of Politics and Methodologies of Communication: - the) to Organize and to execute the actions of Politics and Methodologies of Communication; - b) to Accomplish the Strategic and Operational Plan of Abrade; c) to Substitute the president in your legal impediments; - d) to Accomplish and to do to accomplish this Statute. - Art. 18 - they are attributions of the Administrative Director: - the) to Organize and to execute the administrative and financial services; - b) to Present the Financial Report annually; - c) to Collect and to receive the associates' monthly contribution; - d) to Accomplish financial movements, among them, to emit and to sign checks with the president; - and) to Accomplish the Strategic and Operational Plan of Abrade; - f) to Accomplish and to do to accomplish this Statute. - Only paragraph - the accomplishment of expenses will be made under the president's authorization. - Art. 19 - it competes to the Director of Partnership with ADEs and Congenerous Entities: - the) to Organize and to execute actions of partnerships with ADEs and Congenerous Entities; - b) to Accomplish the Strategic and Operational Plan of Abrade; - c) to Accomplish and to do to accomplish the present Statute. - Art. 20 - it competes to the Director of Partnerships in the Society: - the) to Organize and to execute actions of partnerships in the Society; -b) to Accomplish the Strategic and Operational Plan of Abrade; - c) to Accomplish and to do to accomplish the present Statute. - Art. 21 - it competes to the Director of Technologies of Communication: - the) to Organize and to execute actions gone back to implantation and improvement of the communication technologies; - b) to Accomplish the Strategic and Operational Plan of Abrade; - c) to Accomplish and to do to accomplish the present Statute. - Art. 22 - it competes to the Director of Financial Infrastructure: - the) to Organize and to execute actions of reception of financial resources; - b) to Accomplish the Strategic and Operational Plan of Abrade; - c) to Accomplish and to do to accomplish the present Statute. - Art. 23 - in case of vacancy of the positions of the Executive Management, the same ones are filled out by the president's decision, ad referendum of CNDE. - Only paragraph - In case of vacancy of president's position, in the period of up to 180 (hundred and eighty) days of the end of the mandate in course, your legal substitute summons CNDE for the successor's election, happening this in up to 90 (ninety) days. - Art. 24 - the members of the Executive Management answer, individually for the contracted obligations on behalf of Abrade, in the area of your performance and, solidariamente, for the obligations assumed by the other members of the Executive Management, since related to the objectives and institutional purposes of the Association and, if it goes the case, for the expenses and other assumed obligations, since authorized for the Executive Management.

Chapter VII - Of the Fiscal Council

Art. 25 - the Fiscal Council is composed by 3 (three) members, natural persons, with two year-old mandate, coincident with the one of the Executive Management, chosen and vested by CNDE. - Art. 26 - it competes to the Fiscal Council: - the) to Exercise the economical-financial fiscalization of Abrade; - b) to Analyze and to give to seem on the Swinging, the Demonstration of the Revenues and of the Expenses, as well as of the accounts rendered of the Executive Management, referring to the exercise I finish; - Only paragraph - not existing in the Council Fiscal person qualified to accomplish what establishes the paragraph “b” above, it should be legally contracted a person qualified, to assist to the demand in subject. - Art. 27 - the opinions emitted by the Fiscal Council they are enclosed to the Annual Reports and directed by the Executive Management to CNDE. - § 1o - CNDE can, the any time, for any of your members, to request to the Fiscal Council to seem relative to the financial situation of Abrade. - § 2o - The members of the Fiscal Council choose, when gathered, one of your members for, in rodízio, to preside the works, being the decisions taken by simple majority of votes, tends the president the vote of it decides.

Chapter VIII - Of the patrimony

Art. 28–they constitute patrimony of Abrade: - the) movable and immobile Goods, titles of incomes, values, bottoms of bank deposits that it possesses or come to possess; - b) Rights of nature intellectual, cultural and coin or any half that in her can be expressed; - c) Donations, legacies and donations; and, - d) the associates' monthly Contributions. - § 1st - The monthly contributions the one that refers the paragraph “d” above they are established for CNDE. - § 2nd - The conditioned donations are appreciation object for CNDE. - § 3rd - THE delay of three or more monthly fees on the part of the associates can cart the suspension of your social rights before CNDE.

Chapter IX - Of the general and final dispositions

Art. 29–the distribution of profits is hindered, allowances, advantages or dividends of the patrimony of Abrade, under any form or excuse. - Art. 30–Abrade applies your resources in agreement with what it is deliberate for CNDE, observed the Brazilian legislation. - Art. 31–the omitted cases of the present Statute are resolved for the Executive Management and countersigned by CNDE, in the first meeting after your occurrence, or in extraordinary meeting of this last one. - Art. 32–Abrade can only be extinguished by sentence judicial irrecorrível or by decision of CNDE, in extraordinary meeting, especially summoned for that end, for deliberation taken by 2/3 (two thirds) of the associated with right to I vote. - Only paragraph–In the case of dissolution of Abrade, it falls to CNDE to destine your patrimony for another institution without lucrative ends, spiritualistic preferencialmente. - Art. 33–this Statute, approved in General Assembly of Constitution of the Brazilian Association of Dissemination of the Spiritism (Abrade) accomplished on November 22, 2003, in the city of Florianópolis - SC, it is published, in extract, in the Official Diary and registered at the Registry of the Civil Registration of legal entities. - Art. 34–the present Statute can the any time to be reformed, in the whole or partly, by CNDE, in Extraordinary Meeting especially summoned for that end, being unalterable the spiritualistic nature of Abrade, the functions of General Assembly of CNDE, as well as the present Article. - Art. 35–this Statute goes into effect in the date of your approval.
